Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Manifold Health platform and related services. Please read them carefully before using the platform.

1. Introduction

1.1 Provider

Manifold Health, Inc. (“Manifold Health,” “we,” “us,” or “our”) operates a software-as-a-service (SaaS) platform that provides biological data processing, health intelligence modeling, and analytics tools (the “Platform”).

1.2 Platform Description

The Platform is a cloud-based service accessible via web and related applications. It is designed to support organizations in analyzing biological and health-related data, modeling risk and trajectories, and generating structured insights for operational, planning, and decision-support purposes.

1.3 Business Use Only

These Terms apply solely to business entities, organizations, and their authorized employees, contractors, or representatives (“Customers”). The Platform is not intended for personal, household, or consumer use.

2. Definitions

2.1 Customer

The legal entity entering into an agreement with Manifold Health for access to the Platform.

2.2 User

A natural person authorized by the Customer to access and use the Platform.

2.3 Platform

The hosted software applications, models, analytics, and related services provided by Manifold Health, including updates and improvements.

2.4 Subscription

The paid, time-limited right to access Platform features according to the Customer’s selected plan.

2.5 Support Services

Technical support, onboarding assistance, and related services provided by Manifold Health.

3. Scope of Application

3.1

These Terms govern all contractual relationships between Customers and Manifold Health regarding use of the Platform.

3.2

Any conflicting or deviating terms of the Customer shall not apply unless expressly agreed to in writing by Manifold Health.

3.3

Individual written agreements between Manifold Health and a Customer shall take precedence over these Terms.

4. Subject of the Contract

4.1

Manifold Health grants Customers and their authorized Users a non-exclusive, non-transferable, time-limited rightto access and use the Platform during the subscription term.

4.2

The Platform is provided solely as a hosted service. No ownership, source code, or underlying infrastructure is transferred.

4.3

Manifold Health may update, modify, or improve the Platform over time. Customers will have access to the most current version available.

5. Services of Manifold Health

5.1 Hosting & Availability

Manifold Health operates the Platform using commercially reasonable efforts to maintain availability. Planned maintenance may be scheduled with advance notice when feasible.

5.2 Updates & Development

The Platform may be updated with enhancements, security improvements, or feature changes. Manifold Health may add, modify, or remove features provided the overall value of the Platform is not materially reduced.

5.3 Support

Manifold Health provides support services via email or ticketing during standard business hours, subject to the Customer’s subscription level.

5.4 Exclusions

Manifold Health does not provide medical care, diagnosis, treatment, insurance coverage, underwriting, actuarial services, legal advice, or financial advice. Platform outputs are informational and decision-support tools only.

6. Fees and Payment

6.1

Subscription fees are specified in the applicable order form or plan and billed in advance on a monthly or annual basis.

6.2

Fees are exclusive of applicable taxes unless stated otherwise.

6.3

Payments must be made using approved payment methods.

6.4

Failure to pay may result in suspension or termination of access.

6.5

Manifold Health may adjust fees with at least thirty (30) days’ notice prior to renewal.

7. Grant of Rights and Restrictions

7.1

Customers receive a limited, non-sublicensable right to access the Platform during the subscription term.

7.2 Customers may not:

  • Copy, modify, reverse-engineer, or attempt to extract source code

  • Sell, rent, sublicense, or provide access to third parties

  • Use the Platform for unlawful or harmful purposes

7.3

All intellectual property rights in the Platform remain with Manifold Health.

8. Customer Obligations

8.1

Customers are responsible for ensuring only authorized Users access the Platform.

8.2

Customers must maintain accurate account information and safeguard credentials.

8.3

Customers must comply with all applicable laws and regulations in their use of the Platform.

8.4

Customers are responsible for the accuracy of any data they provide and for maintaining their own data backups.

9. Term and Termination

9.1

Subscriptions begin on the effective date stated in the order confirmation.

9.2

Subscriptions renew automatically unless canceled at least thirty (30) days before the end of the billing period.

9.3

Either party may terminate for material breach or insolvency.

9.4

Upon termination, access will be disabled. Customer data may be retained temporarily for export, then deleted in accordance with retention policies.

10. Data Protection and Confidentiality

10.1

Manifold Health processes personal data in accordance with applicable data protection laws and its Privacy Policy.

10.2

Where Manifold Health acts as a data processor, a separate Data Processing Agreement may apply.

10.3

Both parties agree to keep confidential information strictly confidential.

11. Liability

11.1

The Platform is provided “as is” without warranties to the maximum extent permitted by law.

11.2

Manifold Health is not liable for indirect, incidental, or consequential damages, including lost profits or data loss.

11.3

Manifold Health’s aggregate liability in any twelve-month period shall not exceed the fees paid by the Customer during that period.

11.4

Nothing limits liability for gross negligence, willful misconduct, or injury to life, body, or health.

12. Amendments to Terms

12.1

Manifold Health may amend these Terms to reflect changes in law, technology, or services.

12.2

Material changes will be communicated at least thirty (30) days in advance.

12.3

Continued use after changes take effect constitutes acceptance.

13. Final Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law principles.

13.2 Jurisdiction

Exclusive jurisdiction shall lie in Delaware County, Ohio, unless otherwise required by law.

13.3 Severability

If any provision is invalid, the remaining provisions remain in effect.

13.4 Assignment

Customers may not assign these Terms without prior written consent from Manifold Health.

Manifold Health does not perform claims adjudication, insurance underwriting, regulatory reporting, or clinical decision-making unless explicitly agreed upon through a written service agreement. Use of the Manifold Health platform may involve the transmission of health, claims, eligibility, or laboratory data through secure APIs or manually uploaded files. Customers are solely responsible for ensuring the accuracy of their data, maintaining compliance with applicable laws and regulations (including HIPAA where applicable), and determining how platform insights are used within their organization. Any predictive models, forecasts, or AI-driven insights provided by Manifold Health are forward-looking in nature and should not be relied upon as the sole basis for healthcare, coverage, or financial decisions. Manifold Health is not intended for personal or consumer use. Availability of features—including analytics, forecasting, and automation—may vary by plan level, data source, and geographic region. Manifold Health, Inc. is a privately held company registered in the United States of America.
